By creating an account, browsing listings, submitting a buy requirement, quoting on opportunities, claiming a supplier profile, or otherwise accessing our website (msmeleap.com) and associated subdomains/services, you agree that you have read, understood, and consented to be bound by:

• These Terms of Use;
• Our Privacy Policy governing data collection, cookies, and communications;
• Any additional guidelines, codes of conduct, or membership terms introduced by MSME LEAP from time to time.

MSME LEAP operates strictly as an online technology facilitator, directory, and B2B marketplace discovery network. Our mission is to eliminate unauthorized middlemen and empower direct commercial transactions between enterprises across India.

You acknowledge and agree that:

• Not a Party to Transactions: MSME LEAP is not an auctioneer, broker, escrow agent, logistics carrier, or direct seller of the goods or services displayed by independent members.
• Direct Bilateral Negotiations: All negotiations regarding product specifications, pricing, minimum order quantities (MOQs), delivery schedules, GST compliance, warranty terms, and invoice settlements occur directly between the buyer and the seller.
• No Endorsement or Quality Guarantee: While we verify documentation such as GSTIN and PAN certificates, MSME LEAP does not endorse, guarantee, or inspect individual physical batches of goods delivered by sellers.

To register an account or interact with commercial opportunities on MSME LEAP, you must fulfill the following criteria:

• Be at least 18 years of age and legally competent to enter into binding commercial contracts under the Indian Contract Act, 1872.
• Represent a bona fide commercial entity, MSME unit, industrial manufacturer, distributor, service provider, or authorized purchasing department.
• Provide accurate, current, and complete corporate information during registration (including legal business name, authorized contact person, registered office address, phone number, and email).

You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and One-Time Passwords (OTPs). You agree to immediately notify MSME LEAP of any unauthorized access or security breach involving your account.

To cultivate a high-trust trading environment, MSME LEAP features verification badges and parameters:

• GSTIN & PAN Verification: Suppliers submitting Goods & Services Tax (GSTIN) and Permanent Account Numbers (PAN) are checked against public registries for registration authenticity.
• Contact Validation: Mobile numbers and business emails are validated via secure OTP/verification links.
• Trade Association Alignment: Verified affiliations with recognized MSME industry bodies and trade networks are reflected as verified trust badges.

Disclaimer on Badges: A "Verified" badge signifies document-level validation at the time of review. It does not constitute a financial credit rating or guarantee of performance in individual commercial purchase orders.

When posting buy requirements, uploading product catalogs, or responding to Request for Quotes (RFQs):

• Authenticity & Accuracy: All descriptions, technical specifications, photographs, test certificates, and price indicators must be genuine, accurate, and non-misleading.
• Genuine Intent: Buy leads and RFQs must represent genuine commercial purchase requirements with a bona fide intent to procure.
• Stock & Availability: Sellers must only list products they have the lawful capacity, manufacturing capability, or distribution authorization to supply.

Users are strictly prohibited from engaging in any of the following activities on MSME LEAP:

All buyers and suppliers agree that:

• Direct Payments: Trade payments are settled directly between transacting parties using mutually agreed channels (NEFT, RTGS, Letter of Credit, UPI, Cheque, Escrow, etc.).
• Statutory Tax Compliance: Sellers are solely responsible for issuing valid GST Tax Invoices, e-way bills, and complying with Central/State taxation rules applicable in their respective trade jurisdictions.
• Commercial Disputes: Any claims relating to product defects, delivery delays, transit damages, or price differences must be resolved directly between the transacting parties.

Platform IP: The MSME LEAP name, branding, logos, platform UI/UX design, database architecture, algorithms, and website source code are the proprietary intellectual property of MSME LEAP.

Member Content License: By uploading your company logo, product photographs, brochures, video tours, or factory certificates to MSME LEAP, you grant us a non-exclusive, worldwide, royalty-free license to display, index, and promote such media solely for the purpose of facilitating business discovery on the platform.

MSME LEAP provides both Standard (Free) tier access and Premium value-added membership packages:

• Standard Membership: Provides standard directory listing, basic search, and standard response allotments.
• Premium Subscriptions: Includes priority search placement, verified badge highlight, unlimited RFQ responses, and dedicated support.
• Fee Policies: Subscription fees are payable in advance and are non-refundable once the subscription term commences, except as explicitly stated in writing. Applicable GST will be added at checkout.

THE MSME LEAP PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The service will be uninterrupted, error-free, completely secure, or available at all times.
• Any particular commercial transaction or revenue milestone will result from membership or requirement postings.
• Descriptions, images, or ratings uploaded by third-party members are completely infallible or exhaustive.

To the maximum extent permitted under applicable Indian law, MSME LEAP, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of commercial opportunities arising out of your use of or inability to use the platform.

You agree to indemnify, defend, and hold harmless MSME LEAP from and against any third-party claims, liabilities, damages, or costs (including legal fees) arising from your breach of these Terms, infringement of third-party IP rights, or any violation of applicable laws.

MSME LEAP reserves the right to suspend, restrict, or permanently terminate any user account without prior notice if:

• You breach any provision of these Terms of Use or our Code of Conduct.
• We receive credible complaints of fraud, non-delivery, or deceptive trade practices against your profile.
• Your business credentials (GSTIN/PAN) are cancelled or revoked by relevant statutory authorities.
• Required to do so by any law enforcement agency or judicial order.

These Terms of Use shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India. Any disputes, claims, or controversies arising out of or in connection with these Terms or the use of MSME LEAP shall be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.
